2. Licences Granted<\/strong>
\nHerdwatch hereby grants You a non-exclusive, revocable, non sub-licensable, non-transferable license to use the Application. You hereby acknowledge that all copyright, database rights, website design, trade and service marks, logos and\/or names, design rights, know-how and all other intellectual property rights (including any material used on the Application’s websites situated at http:\/\/www.herdwatch.ie<\/a>, http:\/\/www.herdwatch.co.uk<\/a>, http:\/\/www.herdwatch.com<\/a> (“Site”)) (“Intellectual Property”) in each case whether registered or not belong to Herdwatch (or applicable licensors) and may not be used in any way whatsoever without the prior and written consent of Herdwatch.<\/p>\n

You hereby grant to Herdwatch a non-exclusive, transferable, revocable, sub-licensable, royalty-free worldwide licence to use the Content subject to the terms and conditions of this Agreement.<\/p>\n

3. Privacy Policy and Data Protection<\/strong>

4. Warranties and Indemnity<\/strong>
\nHerdwatch warrants that it will use all reasonable skill and care in the provision of the Service but makes no warranty that the Application and\/or the Site is free from viruses or anything else that has contaminating and\/or destructive properties. It is always your responsibility to adopt appropriate back-up, firewall and other precautionary security measures.<\/p>\n

You warrant and represent that You are the owner or licensee of any Content that You upload, record or otherwise transmit through the Service. You further agree not to upload content that violates intellectual property, legal, safety, or moral standards.<\/p>\n

You agree to fully indemnify Herdwatch from and against all claims, liabilities, costs and expenses (including but not limited to legal fees) arising out of your use of the Service or any breach of this Agreement.<\/p>\n

5. Service Availability and Limitation of Liability<\/strong>
\nThe Service is provided on an “as is” basis. Herdwatch reserves the right to modify, withdraw, suspend or restrict the availability of the Service without notice. Herdwatch shall not be liable for:<\/p>\n

Loss of profit or business<\/p>\n

Data corruption or transmission issues<\/p>\n

Service interruptions or hardware failures<\/p>\n

Indirect or consequential damages exceeding subscription fees paid in the previous 12 months<\/p>\n

6. Storage of Content<\/strong>
\nWhile Herdwatch uses secure third-party cloud services for backup, we are not solely responsible for the long-term storage of your Content. You are encouraged to maintain your own backups.<\/p>\n

7. Notices<\/strong>
\nAll notices must be sent via email to info@herdwatch.com<\/a> or by post to the registered address above.<\/p>\n

8. Links<\/strong>
\nThe Service may link to third-party websites. Herdwatch is not responsible for their content or any loss arising from their use. Use at your own risk.<\/p>\n

9. Purchases, Subscriptions and Accounts<\/strong>
\nPurchases:
\nUsers must provide accurate billing details. Herdwatch may cancel transactions due to error, fraud, or availability.<\/p>\n

Free Trials and Subscriptions:
\nSome services may include trials or recurring billing. Subscription terms, cancellation rights, and fee changes are detailed in the agreement.<\/p>\n

Refund Policy:<\/p>\n

30-day money-back guarantee for new customers<\/p>\n

Subscription renewals generally non-refundable<\/p>\n

Refund requests must be made within 14 days<\/p>\n

Accounts:

10. Dispute Resolution<\/strong>
\nDisputes should first be resolved informally. If unsuccessful, they may be referred to mediation via ICDR in Dublin. If mediation fails, disputes fall under the jurisdiction of the Irish courts.<\/p>\n

11. General and Applicable Law and Jurisdiction<\/strong>
\nNo failure or delay by Herdwatch to exercise rights constitutes a waiver. This Agreement is governed by the laws of Ireland, and any legal disputes must be brought before Irish courts.<\/p>\n

12. Changes<\/strong>
